Some more info on Bharti-MTNL deal
Market expects Bharti-MTN deal not to go through; Bharti can rally 20-25% if deal doesn't happen: Macquarie
Shubham Majumder, Analyst, Indian Telecoms, Pharma at Macquarie Research Equities said that market expects Bharti-MTN not to go through and feels that Bharti can rally 20-25% if the deal does not happen. However, he feels that Bharti & MTN combined could have significant weightage on MSCI index. A lot of glabal investors can invest in Bhati-MTN, as a
result of higher market cap, he added.
SEBI has revised the takeover norms provisions. In its new takeover norms, SEBI said that the board has approved 2 changes in IDR norms. Concept of anchor investors has been allowed for IDRs as well. Takeover regulation is made applicable for ADR/GDR with voting rights. SEBI says that GDR/ADR holders with voting rights are on par with shareholders and there is no retrospective effect to amendment.
On dual listing debate, the market regulator said that it is premature to comment on the issue and that it has got no application from any entity.
Bharti Airtel said that MTN deal will meet the laws in both India & SA. The company will seek open offer exemption if required and will seek all relevant approvals at right time.
Bharti Spokesperson said the company can confirm that the structure, under discussion with MTN, will be fully compliant with the laws in both countries. All relevant approvals, including exemption from open offer from SEBI (if required), would be sought at the appropriate time.
CNBC-TV18 learns that extension of exclusive talks period is unlikely. Talks period is till September 30 and is not being reworked post takeover code changes. South African government team will focus on dual listing.
Finance Ministry has convened meeting. SA team will attend the meeting on September 24. RBI officials may also attend the meeting. Indian government continues to support Bharti-MTN deal. SEBI says that there will be direct/indirect gain of voting rights if voting rights are given to shares via GDR/ADR.
