Kotak Mahindra Capital Company Limited has informed the Exchange that Godrej Agrovet Limited, ("Acquirer") has entered into a Share Purchase Agreement ("SPA") on August 28, 2015, to acquire equity shares of the Target Company in accordance with the terms and conditions of the SPA. This has resulted in triggering of regulation 3(1) read along with regulation 4 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto ("SEBI (SAST) Regulations"), requiring a public announcement in terms of regulation 13 of the said regulations.The Public Announcement in accordance with Regulation 15(1) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.Open Offer for acquisition of 50,67,259 equity shares ("Offer" / "Open Offer") of Astec Lifesciences Limited ("Target Company") by Godrej Agrovet Limited ("Acquirer').
