ABG Shipyard Limited To Acquire Western India Shipyard Limited-ET

The Economic Times reported that ABG Shipyard Limited (ABG) is all set to acquire majority stake in Western India Shipyard Limited with ABG completing all financial and legal formalities. It had bought the shares held by institutional investors ICICI, IDBI, Bank of India, State Bank of India and UTI at the same period. As per the scheme of arrangement laid down by the court, the scheme provided options for the long-term restructuring or one-time settlement of the debt of the secured lenders of Western India Shipyard, along with other matters, including reorganisation of the share capital of Western India Shipyard. Under this, the secured lenders have two options. One, they can convert up to 36% of their secured liabilities into equity shares of Western India Shipyard, 42% into a convertible zero-coupon loan bearing 0% interest per annum and the remaining 22% into a term loan at 11% per annum payable after nine years. Two, secured lenders can opt for a one-time settlement for 42% of their liabilities.
